Freelance classification in Ukraine

Gepubliceerd op:

“Freelancer” is not a separate legal status in Ukraine. A person may work as an employee, provide services under a civil contract, operate as a registered individual entrepreneur or enter a qualifying Diia City gig contract. This introduction defines the people and concepts used throughout the catalogue, with the central question being who organises and directs the work in practice

1. Introduction: how should freelance work in Ukraine be understood?

“Freelancer” describes a way of working, not one legal status under Ukrainian law. A person may be employed, undertake work or services under an ordinary civil contract, conduct business as a registered individual entrepreneur, or enter a statutory gig contract with a qualifying Diia City company.

The central classification question is how the particular relationship works. Does the customer purchase independently organised work or services, or does a business direct a person performing an ongoing role within its working organisation? The contract, registration and invoices provide evidence, but the parties must also examine instructions, schedules and actual performance.

2. Shared concepts

Legal Relationship

Identify who performs the work, who buys it, which agreements connect them and whether another business acts between them. A marketplace account does not establish an employment relationship by itself.

Direction and Control

Identify who sets hours, gives continuing instructions, supervises the working process and applies internal rules. Specifying the service to be delivered is different from managing the provider as staff.

Defined Assignment

Identify the work or service purchased and how performance can be recognised. A service need not produce a physical object, but the parties should be able to explain what was agreed.

Business Risk

Consider who organises performance and bears responsibility for the undertaking. Registration, a fee and an invoice may be relevant, but none is a conclusive classification test.

Evidence and Change

Compare the agreement with messages, schedules, task records and payments. Reassess when separate assignments develop into an ongoing internal role or a party’s control changes.

Intermediary Role

Separate introductions and payment support from decisions about contracting, allocation, instructions and supervision. Assess the marketplace’s actual function for each arrangement.

Ukrainian terms and actors

These capitalised labels make the catalogue easier to navigate. They do not create additional legal statuses.

Employee

A worker (працівник) engaged under an employment contract governed by the Code of Labour Laws of Ukraine (Кодекс законів про працю України).

Employer

The person or organisation (роботодавець) engaging an Employee under an employment contract and owing the applicable employment duties.

Individual Contractor

A natural person undertaking work or services under a civil contract, with or without entrepreneur registration where that arrangement is lawful. The applicable Ukrainian contractual term may be contractor (підрядник) or service provider (виконавець). “Individual Contractor” is a catalogue label.

Individual Entrepreneur

An individual entrepreneur (фізична особа-підприємець, ФОП; transliterated FOP) registered to conduct business as a natural person. Registration does not create a separate company.

Client

The customer (замовник) buying work or services under a civil contract. A marketplace facilitating the transaction is not necessarily the Client. If an apparent civil arrangement is actually employment, the business identified as the Client may have duties as an Employer.

Intermediary

A business connecting parties or supporting their transaction, such as a marketplace. This catalogue term does not assign the business a particular employment status.

Diia City Resident

A legal entity (резидент Дія Сіті) holding status under Ukraine’s Diia City regime. Its status can be checked in the official resident register.

Gig Specialist

An individual (гіг-спеціаліст) engaged by a Diia City Resident under the statutory gig contract (гіг-контракт).

The items below move from legal forms and classification to documentation, registration, tax, court decisions and enforcement. Diia City has its own item because its gig contract has rules that should not be applied to ordinary civil agreements.
