How are freelancers classified as Freiberufler or Gewerbetreibende in Germany?

Gepubliceerd op:

The English term “freelancer” does not correspond to a single German legal status. A self-employed person may be classified as: a Freiberufler, meaning a person conducting a liberal professional activity under § 18 EStG; or a Gewerbetreibender, meaning a person operating a trade or commercial business under § 15 EStG. A Freiberufler generally registers the activity with the competent tax office and does not ordinarily submit a trade notification or pay trade tax. A Gewerbetreibender generally must notify the competent trade authority under § 14 GewO, register for tax purposes and consider trade-tax and chamber obligations. This classification concerns the nature of the independent activity. It does not conclusively establish that the person is genuinely self-employed under § 611a BGB or § 7 SGB IV.

1. Who qualifies as a Freiberufler?

Section 18 EStG covers independently exercised scientific, artistic, literary, teaching and educational activities. It also identifies a range of catalogue professions, including:

  • doctors, dentists and veterinarians;

  • lawyers, notaries and patent attorneys;

  • engineers, architects and surveyors;

  • auditors, tax advisers and consulting economists;

  • journalists and photojournalists;

  • interpreters and translators; and

  • certain comparable professions.

A profession not expressly listed may qualify as a similar profession where the person’s training, professional knowledge and activity are sufficiently comparable to a recognised catalogue profession.

A Freiberufler may use professionally trained staff, provided the professional continues to act in a leading and personally responsible capacity based on their own expertise.

The competent tax office determines whether the activity falls under § 18 EStG. The parties cannot create Freiberufler status merely by using that description in an agreement.

Toelichting

Freiberufler status is reserved for specified professional, intellectual, artistic, teaching and comparable activities. It does not apply automatically to everyone who calls themselves a freelancer.

2. When is an independent activity a Gewerbe?

Under § 15 EStG, a commercial activity generally involves:

  • independent activity;

  • sustained or repeated activity;

  • an intention to make a profit; and

  • participation in general economic activity.

The activity must not already constitute agriculture, forestry, a liberal profession or another category of independent work.

Commercial activities may include retail, production, brokerage, agency services and many digital or operational services that do not meet the requirements of § 18 EStG.

Under § 14 GewO, commencement of a standing trade must generally be notified to the competent trade authority. Notification may also be required when the business relocates, materially changes or closes.

Depending on the activity, membership of the relevant Chamber of Industry and Commerce or Chamber of Crafts may follow. Regulated activities may require additional licences or professional authorisation.

Toelichting

If an independent activity does not qualify as a liberal profession and is operated commercially and sustainably for profit, it will usually be treated as a Gewerbe.

3. What tax and registration obligations apply?

A person beginning an independent professional, agricultural or commercial activity must provide the competent tax office with the required tax-registration information under § 138 AO. This is normally completed electronically through the official ELSTER system.

A Freiberufler generally:

  • registers with the tax office;

  • receives or uses the relevant tax number;

  • declares income from self-employed professional activity;

  • pays income tax on taxable profit; and

  • accounts for VAT unless an exemption or the small-business regime applies.

A Gewerbetreibender generally:

  • submits a trade notification to the local authority;

  • completes tax registration;

  • declares commercial income;

  • may become liable for trade tax; and

  • may acquire chamber-related obligations.

Both categories must maintain adequate accounting and tax records. The applicable bookkeeping method depends on the legal form, size and statutory accounting requirements.

Where a person performs both liberal-professional and commercial activities, the activities should be assessed carefully and, where possible, documented and accounted for separately. Mixed activities, especially within a partnership, may create complex tax consequences.

Toelichting

Freiberufler usually register directly with the tax office. Commercial traders normally register with both the trade authority and the tax office.

4. Does tax or trade registration prove self-employment?

No. A person may be registered as a Freiberufler or Gewerbetreibender and still be classified as an employee in relation to a particular Client.

The tax office assesses the nature of the person’s income and business activity. Employment and social-security authorities assess how the individual Assignment operates.

Classification risk may remain where the Vendor:

  • works under detailed Client instructions;

  • is integrated into the Client’s organisation;

  • performs continuing employee-like duties;

  • has little control over working time or method;

  • bears no meaningful commercial risk; or

  • depends organisationally on the Client.

Conversely, a genuine independent Vendor may operate either as a Freiberufler or as a Gewerbetreibender. The tax distinction does not create a hierarchy of independence.

Toelichting

A tax number, trade registration or invoice does not prove that a Vendor is genuinely independent. Each Client relationship must still be assessed separately.

How is freelancer misclassification enforced in Germany?

German freelancer misclassification may be identified through an employer audit, a status-determination procedure, a customs investigation, a tax audit, legal proceedings or information provided by the worker. Where a Vendor is reclassified as an employee, the Client may be treated as the employer and required to correct social-security notifications and pay outstanding contributions. Under § 28e SGB IV, the employer is generally responsible for paying the total social-security contribution to the competent collection body. Additional consequences may include late-payment surcharges, administrative fines and criminal liability under § 266a StGB for withholding social-security contributions. The consequences depend on the facts, the relevant period, the degree of fault and whether the Client cooperates in correcting the position.

Which self-employed workers must participate in Germany’s statutory pension-insurance system?

Section 2 SGB VI requires specified categories of self-employed workers to participate in Germany’s statutory pension-insurance system. This obligation can apply even where the individual is genuinely self-employed and is not an employee under § 611a BGB or § 7 SGB IV. Pension-insurance liability under § 2 SGB VI must therefore be distinguished from false self-employment. The covered categories include certain self-employed teachers, educators, carers, midwives, artists, publicists, craftspeople and individuals who work predominantly for one Client without employing a worker subject to compulsory social insurance. Some self-employed workers must notify the competent pension-insurance institution within three months after beginning the relevant activity. Exemptions may be available in specified circumstances, but they generally require the statutory conditions to be satisfied and, where applicable, an application.

How do German service and works contracts apply to independent freelancers?

German law permits independent services to be structured principally through a Dienstvertrag, or service contract, under § 611 BGB, or a Werkvertrag, or works contract, under § 631 BGB. Under a service contract, the Vendor promises to perform an activity. A particular successful result is not ordinarily guaranteed. Under a works contract, the Vendor promises a defined work or result. Acceptance, conformity with the agreed requirements and remedies for defects are central to the relationship. These civil-law contract types must be distinguished from an employment contract under § 611a BGB. A contract described as a service or works contract may still be an employment contract where its practical performance involves personally dependent, externally determined and instruction-bound work.

How do §§ 7 and 7a SGB IV determine the social-security status of freelancers?

Section 7 SGB IV defines Beschäftigung, or employment for social-security purposes, as non-self-employed work, particularly work performed within an employment relationship. The principal statutory indicators are: performance of work according to instructions; and integration into the instructing party’s work organisation. Section 7a SGB IV establishes the Statusfeststellungsverfahren, under which Deutsche Rentenversicherung Bund, or DRV Bund, may formally determine whether an Assignment constitutes employment or self-employed activity. The assessment is based on the complete circumstances of the Assignment. The wording of the contract, the Vendor’s tax registration and the parties’ chosen description are relevant, but they are not decisive when the practical performance of the Assignment points in another direction.
